These Terms of Service (“Terms”) govern your access to and use of velvetpout.com (the “Website”) and your purchase and use of products and services offered by VelvetPout (“VelvetPout,” “we,” “us,” or “our”).

By accessing the Website, creating an account, placing an order, enrolling in a subscription, or otherwise using our services, you agree to these Terms.

These Terms do not exclude, restrict, or modify any consumer right, statutory guarantee, warranty, remedy, or other protection that cannot lawfully be excluded or limited under applicable law.

1. Eligibility

You must be at least the age of majority in your state, province, territory, or country of residence to make a purchase, or use the Website under the supervision and with the consent of a parent or legal guardian where permitted by law.

You may not use the Website, our products, or our services for any unlawful, fraudulent, or unauthorized purpose.

2. Products and Product Information

We make reasonable efforts to ensure that product names, descriptions, ingredients, images, colors, sizes, quantities, prices, and other information displayed on the Website are accurate and not misleading.

Because of differences in lighting, photography, screen settings, device displays, and individual lip tone or skin tone, actual product colors and appearance may vary from images shown online.

Product packaging, labeling, ingredients, or appearance may occasionally change. Where a change is material to a consumer’s purchasing decision, we will provide updated information as required by applicable law.

We may modify, discontinue, or limit products or product variations from time to time. Any such change will not affect rights relating to an order that has already been accepted unless otherwise permitted by applicable law.

3. Cosmetic Product Disclaimer and Product Safety

VelvetPout beauty products are intended for cosmetic use and are not intended to diagnose, treat, cure, mitigate, or prevent disease unless specifically and lawfully stated otherwise.

Individual experiences and results may vary.

You should read and follow product labels, ingredient information, warnings, and directions before use. If you have known allergies or sensitivities, you should review the ingredient list carefully before using a product.

Stop use if irritation, discomfort, allergic reaction, or another unexpected reaction occurs. Seek appropriate medical assistance where necessary.

Unless specifically and lawfully stated otherwise, VelvetPout does not represent that a finished cosmetic product has been approved by the U.S. Food and Drug Administration or any other regulatory authority where such approval is not legally required.

Nothing in this section limits any legal obligation relating to product safety, product defects, recalls, required warnings, or consumer remedies.

4. Prices, Taxes, Fees, and Pricing Errors

Prices, discounts, promotional offers, and product availability may change before an order is submitted.

Before you complete a purchase, we will disclose the price of the products in your order together with applicable taxes, shipping charges, and other mandatory charges that we are required to collect or disclose.

The total amount displayed at checkout when you submit your order will normally govern the transaction.

If a product is displayed with an obvious pricing, typographical, technical, or calculation error, we may correct the error before accepting or fulfilling the affected order. If payment has already been collected and we do not fulfill the order at the displayed price, we will refund the affected amount in accordance with applicable law.

We will not intentionally use misleading reference prices, hidden mandatory charges, or deceptive pricing practices.

5. Orders and Order Acceptance

Submitting an order constitutes an offer to purchase and does not, by itself, guarantee that the order has been accepted.

We may reject or cancel an order for legitimate reasons, including:

  • suspected fraud or unauthorized payment;

  • an obvious pricing or listing error;

  • product unavailability;

  • payment authorization failure;

  • restrictions imposed by law or regulation; or

  • a material violation of these Terms.

If we cancel an order after payment has been collected and before the applicable merchandise is shipped or otherwise supplied, we will refund the amount charged for the cancelled merchandise, together with any related taxes or charges that must be refunded under applicable law.

We will not cancel an accepted order for arbitrary or discriminatory reasons prohibited by law.

6. Payment

Payment must be successfully authorized before an order can be fulfilled.

Payments may be processed by Shopify and other third-party payment providers displayed at checkout.

Your use of a third-party payment provider may also be subject to that provider’s terms and privacy practices.

You are responsible for providing accurate billing and payment information.

If we become aware that you have been charged an amount that you did not authorize or that resulted from our billing error, we will investigate and provide any refund or correction required by applicable law.

Nothing in these Terms limits any rights you may have under applicable payment-card, electronic-payment, chargeback, or unauthorized-transaction laws.

7. Shipping and Delivery

Shipping and delivery are also governed by our Shipping & Delivery Policy, which forms part of these Terms.

Delivery dates and transit times are estimates unless expressly stated as guaranteed or unless applicable law requires otherwise.

We will make reasonable efforts to deliver orders within the timeframe communicated to you.

If an order is materially delayed, lost in transit, incorrectly delivered, or not delivered, we will provide the remedies required by applicable law and our applicable Shipping & Delivery Policy.

Nothing in these Terms transfers the risk of loss to a consumer earlier than permitted under applicable law.

Where applicable law gives you a right to cancel an order because of excessive delay or failure to deliver within an agreed or legally required period, these Terms do not restrict that right.

8. Returns, Refunds, Exchanges, and Defective Products

Returns, refunds, exchanges, damaged products, and incorrectly supplied products are also governed by our Return & Refund Policy, which forms part of these Terms.

Our Return & Refund Policy is in addition to, and does not replace, any mandatory rights or statutory remedies available to consumers.

If a product you receive is defective, damaged, materially different from its description, incorrectly supplied, unsafe, or otherwise non-conforming in a manner that gives rise to a legal remedy, you may be entitled to an appropriate remedy under applicable law.

Depending on the circumstances and applicable law, remedies may include:

  • refund;

  • repair, where appropriate;

  • price reduction; or

  • another legally required remedy.

Any hygiene, cosmetic, personal-care, final-sale, or opened-product restriction in our Return & Refund Policy applies only to the extent permitted by applicable law and does not remove rights relating to defective, damaged, unsafe, misdescribed, or incorrectly supplied products.

Approved refunds will be issued without undue delay and within the timeframe required by applicable law.

Unless otherwise agreed or legally permitted, refunds will generally be made to the original payment method.

We will not impose a return fee, restocking fee, or other deduction where doing so would unlawfully reduce a consumer’s statutory remedy.

9. Statutory Consumer Rights

Consumers may have rights under national, federal, state, provincial, territorial, or local consumer-protection laws that apply regardless of these Terms.

Nothing in these Terms is intended to waive or restrict any right that cannot lawfully be waived or restricted.

10. Statutory Cancellation or Cooling-Off Rights

Depending on where you live, applicable law may provide a statutory right to cancel certain online or distance purchases within a specified period.

Where such a right applies, we will honor it in accordance with applicable law.

Any lawful exception to a cancellation or cooling-off right, including an exception that may apply to certain sealed health, hygiene, cosmetic, or personalized products, will apply only where the requirements for that exception are satisfied.

Nothing in our Return & Refund Policy is intended to eliminate a statutory cancellation right that applies to your purchase.

11. Promotions

Promotional offers, discount codes, bundles, gifts with purchase, Buy One Get One offers, and similar promotions may be subject to additional conditions displayed with the offer.

Promotions may not be combined unless expressly stated otherwise.

Promotional inventory may be limited.

Any material eligibility restriction, expiration date, minimum purchase requirement, exclusion, recurring-payment obligation, or other material condition will be disclosed as required by applicable law.

Promotional terms will not be interpreted to eliminate rights relating to defective, damaged, unsafe, misdescribed, or non-conforming products.

12. Subscription / Subscribe & Save

Certain products may be offered through a recurring Subscribe & Save option.

Before you enroll, we will clearly disclose the material subscription terms presented at checkout, including the recurring nature of the subscription, applicable billing frequency, recurring price or method for determining the price, and available cancellation method.

By affirmatively selecting and completing a subscription purchase, you authorize VelvetPout and its payment providers to charge your selected payment method on a recurring basis at the frequency and price disclosed before enrollment, including applicable taxes and shipping charges.

For products displayed as “Delivered every 30 Days,” the subscription will continue approximately every 30 days until cancelled.

There is no cancellation fee.

We will not require a consumer to use an unreasonably difficult cancellation process.

If applicable law requires a particular online cancellation method, renewal reminder, acknowledgement, confirmation, consent mechanism, or notice before renewal, we will provide it as required.

Material changes to recurring pricing, billing frequency, or renewal terms will be communicated in advance as required by applicable law. Where affirmative consent is legally required for a change, the change will not be imposed without that consent.

Cancellation stops future renewals once it becomes effective. If a recurring order has already been processed before cancellation takes effect, the treatment of that order will be governed by our Return & Refund Policy and applicable law.

Nothing in this section limits any statutory right relating to automatic renewal, recurring billing, unauthorized charges, or subscription cancellation.

13. Reviews and User Content

If you submit a review, photograph, comment, testimonial, or other content, you confirm that your submission reflects your genuine experience and does not knowingly violate another person’s rights.

You may not knowingly submit false, misleading, fraudulent, defamatory, unlawful, or deceptive content.

We may moderate or remove content where permitted by law and consistent with applicable consumer-review requirements.

We will not condition the ability to submit an honest review on the review being positive.

We will not knowingly misrepresent a paid endorsement, incentivized review, or other commercial relationship as an independent consumer opinion where disclosure is required by law.

14. Intellectual Property

The VelvetPout name, Website content, product photography owned by VelvetPout, graphics, text, designs, logos, and other proprietary materials are protected by applicable intellectual-property laws.

Except as permitted by applicable law, you may not reproduce, distribute, modify, sell, license, or commercially exploit our protected material without authorization.

Nothing in this section limits rights that cannot lawfully be restricted, including legally recognized exceptions or limitations to intellectual-property rights.

15. Prohibited Uses

You may not use the Website to:

  • commit or facilitate fraud;

  • interfere with Website or payment security;

  • introduce malicious software;

  • use unauthorized automated means to disrupt or improperly extract data from the Website;

  • infringe intellectual-property or privacy rights;

  • submit deliberately false or deceptive content; or

Third-party websites and services may be subject to their own terms and policies.

  • defective or unsafe products where liability cannot lawfully be excluded;

  • statutory consumer guarantees; or

Any limitation of liability will be interpreted as narrowly as necessary to comply with applicable consumer-protection law.

19. Indemnification

This section does not require a consumer to indemnify VelvetPout for losses caused by VelvetPout’s own negligence, unlawful conduct, breach of these Terms, defective products, or violation of applicable consumer-protection law.

A failure by VelvetPout to enforce a provision of these Terms on one occasion does not constitute a waiver of that provision.

More importantly, no statement in these Terms, on the Website, in a promotional offer, in a customer-service communication, or in another VelvetPout policy should be interpreted as requiring a consumer to waive a mandatory statutory right.

If another VelvetPout policy conflicts with these Terms or applicable mandatory consumer law, applicable mandatory consumer law will prevail.
